UP AT DAWN LLC'S AGGREGATE liability, and your exclusive remedy, shall be a replacement of our product or a refund of the price paid for a onetime purchase or a refund of the most recent month for a recurring purchase.

INDEMNIFICATION

You agree to defend, indemnify and hold Up at Dawn LLC harmless from any and all claims, obligations, liabilities and settlements that Up at Dawn LLC may be required to pay, from any and all expenses, including court costs and actual attorney's fees, that Up at Dawn LLC may incur as a result of a claim by a third party resulting from or arising out of your use of any product, software, or website provided by Up at Dawn LLC pursuant to this agreement.

DISPUTE RESOLUTION

This agreement shall be governed by, and the terms of this agreement shall be construed and interpreted in accordance with, the laws of the State of Wisconsin, without reference to conflict of laws principles.
